Why it matters

RegCanary's analysis of what this means for regulated firms.

The regulator found that VW’s 2023 profit forecast, which significantly exceeded market expectations, should have been published via an ad-hoc announcement as soon as it was identified. Instead, VW issued only a press release. For compliance teams at listed issuers, this enforcement action reinforces that ad-hoc disclosure obligations are strict and time-sensitive.

MAR requires precise, non-public information that could materially affect instrument prices to be disclosed without delay through regulated channels. A press release alone does not satisfy this requirement. Firms should review their insider information assessment and disclosure procedures, ensure that finance, investor relations, legal and board-level staff are trained on MAR triggers, and maintain robust documentation of disclosure decisions.

The €1.2m penalty is moderate in absolute terms, but the reputational and follow-on litigation risks can be far greater. Supervisors are actively monitoring issuer disclosure, so boards should treat ad-hoc compliance as a governance priority. Actionable steps include: mapping forecast and guidance processes for inside information; implementing escalation protocols to legal/compliance; using approved ad-hoc dissemination systems; keeping insider lists updated; and conducting periodic MAR compliance testing.

Investment managers and trading desks should also note that timely issuer disclosure affects information asymmetry and market integrity. While no new rules are introduced, the case demonstrates BaFin’s willingness to enforce MAR breaches. Firms that strengthen disclosure controls can reduce enforcement risk, protect reputation, and enhance investor trust.
