Why it matters

RegCanary's analysis of what this means for regulated firms.

BaFin has published a consumer notice indicating that Uwe Lohmann, trading as Cieco Management (Hannover), appears to be publicly offering cooperative shares across 19 so-called 'Pueblo' projects without the sales prospectus required under section 6 of the German Investment Assets Act (VermAnlG). The key supervisory message is procedural rather than product-specific: in Germany, public offerings of Vermögensanlagen generally require a prospectus previously approved by BaFin, and approval covers only minimum disclosure, comprehension and coherence — not the accuracy of the content, the credibility of the issuer or the merits of the product. For compliance and distribution teams, this is a reminder that wrapper selection (cooperative shares, participation rights, profit-participation loans) does not remove prospectus obligations, and that BaFin-approval stamps are not quality endorsements.

Firms distributing, advising on, or onboarding such products into Germany should verify that an approved prospectus exists before facilitating any public offer, and should ensure suitability and marketing materials do not imply regulatory endorsement. The notice also underscores the value of documented due diligence on cross-border issuers, particularly unlisted cooperative structures in the real estate and project development space, and of appropriate escalation routes where evidence of unapproved offerings emerges. UK firms passporting services into Germany, or acting as distributors or arrangers for comparable structures, should treat this as a prompt to refresh their cross-border permissions screening and product governance controls rather than as a direct supervisory action against them.
