Mitteilungspflichten nicht erfüllt: Bafin setzt Geldbußen fest
RegCanary analysis of a BAFIN publication
Why it matters
RegCanary's analysis of what this means for regulated firms.
The underlying breach occurred in October 2025 and the penalties were confirmed on 21 October 2026, with the individual retaining a right of appeal. For RegCanary subscribers, the signal is less about the size of the penalty than about BaFin's continued willingness to pursue individuals — not just institutions — for disclosure lapses. The notification obligation sits with the shareholder, meaning portfolio managers, family offices, founders, private equity principals and wealth clients can each carry personal exposure when a threshold is crossed and no filing is made.
Fines against natural persons can reach €2 million. The practical pressure point is timing. Notifications to both the issuer and BaFin must be made promptly and no later than four trading days after a relevant threshold is reached, crossed or falls below.
Firms therefore need robust, intraday monitoring of holdings across all accounts and instruments that aggregate to a voting position, including derivatives and delegated mandates, plus clearly documented escalation routes so that the responsible legal entity or individual — not an intermediary — files on time. Recommended actions: refresh major holdings procedures against §§ 33 ff. WpHG; confirm that aggregation logic captures all controlled holdings; test naming and notification workflow with BaFin's portal; and ensure private clients and senior insiders with concentrated stakes understand that the obligation and the liability are theirs.
Treat this as a low-cost control refresh rather than a market-shaping event, but do not dismiss it — disclosure enforcement remains a routine supervisory priority.
