Ease of Compliance for FPIs – Rationalisation of KYC Review Periodicity
RegCanary analysis of a SEBI publication
Why it matters
RegCanary's analysis of what this means for regulated firms.
Separately, the standalone confirmation that previously submitted information is unchanged — currently filed when an FPI continues its registration — is being withdrawn. For compliance and operations teams the practical effect is a materially lighter recurring workload: fewer periodic reviews in the annual compliance calendar, reduced documentation collection and remediation effort, and a streamlined continuance process that removes a duplicative attestation. RegCanary's read is that this is a genuine easing measure rather than a change in underlying standards, so firms should treat it as an efficiency gain to be captured, not a signal that ongoing diligence obligations have softened.
Priority actions: re-baseline periodic review schedules and remediation backlogs once the implementing circular confirms the effective date; reparameterise KYC workflow and vendor screening platforms to the new cycles; update policies, procedures and control documentation; and brief onboarding and relationship teams on the discontinued continuance confirmation. The principal caution is stale-file risk — longer intervals mean fewer natural checkpoints, so risk-based, event-driven triggers (material ownership change, jurisdiction shift, sanctions or adverse media hits) must remain robust and demonstrably tested. Firms with large FPI client books stand to gain most in cost and cycle-time terms, and may be able to redeploy compliance capacity toward higher-value onboarding and client service.
