Why it matters

RegCanary's analysis of what this means for regulated firms.

Peru's banking supervisor (SBS) has cleared Banco Internacional del Perú (INTERBANK) to absorb its wholly owned subsidiary Oporto Inmobiliaria S.A.C. by simple merger, with the target dissolving without a liquidation process. The approval confirms the transaction's compliance with Article 12 of Peru's General Financial System Law (Ley 26702), which requires supervisory authorisation for any merger involving a financial system entity, and with Procedure No. 41-C of the SBS's TUPA and Article 40 of its authorisation regulation (Res. SBS 211-2021).

Shareholder approval was unanimous at both entities' general meetings on 25 March 2026, with the merger structured under Articles 344(2) and 363 of the Peruvian Companies Law. For compliance and legal teams, the takeaway is procedural rather than prudential: intra-group absorptions of non-operating property vehicles still require the full SBS filing chain, board and shareholder resolutions, a merger project and post-merger registration sequencing. Firms with Peruvian subsidiaries or group structures containing real-estate holding vehicles should verify that any internal reorganisation is not treated as a routine corporate matter where a regulated entity is the absorbing party.

There is no direct read-across to UK or EU prudential requirements, but the case illustrates a common supervisory expectation that group simplifications are notified, documented and evidenced before legal extinction of the absorbed entity. Operational impact is confined to INTERBANK's group and its counterparties; competitive effects are negligible. Expect no market-wide rule changes, but track SBS practice on similar intra-group mergers as a benchmark for timelines and documentary standards.
