Plain English

This provision defines which natural and legal persons are obliged entities under the Decree, with separate lists for financial intermediaries, other financial operators, professionals, other non-financial operators, and gaming-service providers. It extends specified duties to securitisation, certain investment-fund participants and managers, licensed company/trust-service providers, Italian branches of foreign entities and listed market infrastructures. It also restricts processing of acquired data to the Decree’s purposes and requires certain branches in other Member States to comply with local transposing rules.

Obligation

Use personal data obtained under this Decree only for its statutory purposes and activities and in accordance with applicable data-protection safeguards; ensure branches in another Member State comply with that State’s transposing rules. Designated securitisation servicers and external managers perform specified Decree duties for additional investors, participants and financed persons only in those roles. The category lists and limited market-infrastructure perimeter in paragraphs 1-8 define scope, not standalone firm tasks.

Paragraphs 2-bis and 2-ter add duties only for designated securitisation servicers and external managers, in those capacities and for stated persons. Paragraph 8 limits listed market infrastructures to suspicious-transaction reporting and objective communications. Paragraphs 1-8 identify category, activity and exception boundaries; they do not themselves impose every substantive AML duty on every listed person.
Exceptions
The repealed letters are not operative categories. Preserve the specific sectoral, activity, licensing, registration and monetary limits in each subparagraph; do not extend one category or its duties to other actors. Article 3 does not reproduce all substantive AML duties or all exemptions elsewhere in the law.

**Article 16 (Risk-mitigation procedures)** 1. Obliged entities adopt safeguards and implement controls and procedures, appropriate to their nature and size, that are necessary to mitigate and manage the money-laundering and terrorist-financing risks identified under Articles 14 and 15. In a group, the parent company adopts a group-wide approach to money-laundering and terrorist-financing risk in accordance with methods established by sectoral supervisory authorities when exercising their functions under Article 7(1)(a). 2. Under Article 7(1), sectoral supervisory authorities, and under Article 11(2), self-regulatory bodies, identify the dimensional and organisational requirements according to which the obliged entities they respectively supervise or oversee must adopt specific safeguards, controls and procedures for: a) assessing and managing money-laundering and terrorist-financing risk; and b) establishing an anti-money-laundering function, including, where appropriate in light of the size and nature of the activity, appointing a head of that function and providing for an independent audit function to verify policies, controls and procedures. 2-bis. Obliged entities ensure that procedures adopted under this Article do not exclude, preventively and generally, particular categories of persons from the offer of products and services solely because of their potential high exposure to money-laundering or terrorist-financing risk. 3. Obliged entities adopt measures proportionate to their risks, nature and size, suitable to inform their personnel of the obligations they have under this Decree, including personal-data protection obligations. To this end, obliged entities ensure continuing training programmes aimed at correct application of this Decree, recognition of transactions connected with money laundering or terrorist financing, and adoption of the required conduct and procedures. 4. Systems and procedures adopted under this Article comply with the requirements and safeguards established by this Decree and the legislation in force on personal-data protection. 4-bis. If the law of a third country does not permit branches and companies of a group established there to comply with the group procedures in paragraph 1, the parent company applies the measures provided for in the Commission delegated regulation referred to in Article 45(7) of the Directive. If those measures are not suitable to reduce the money-laundering risk connected with operations in the third country, sectoral supervisory authorities intensify their supervision of the group and may prohibit the group from establishing business relationships or conducting transactions through the branches and companies established in that third country and may, if necessary, require the group to cease all its operations there.

Plain English

Obliged entities must use safeguards, controls and procedures proportionate to their nature, size and assessed ML/TF risks; groups must apply a group-wide risk approach. Authorities set size/organisation criteria for the controls and AML-function arrangements, with a head and independent audit function only where appropriate. Firms must not apply preventive, blanket exclusion of categories solely for potential high risk, must deliver proportionate continuing training and comply with personal-data safeguards. A special escalation regime applies if third-country law prevents group procedures.

Obligation

Adopt risk-, nature- and size-appropriate safeguards, controls and procedures to mitigate and manage identified ML/TF risks; apply group-wide risk management where relevant; provide proportionate continuing staff training; respect data-protection safeguards; and avoid preventive, general category exclusion solely due to potential high ML/TF exposure.

Conditions
Safeguards/controls/procedures are appropriate to entity nature and size and mitigate risks identified under Articles 14 and 15. Group-wide methods follow sectoral-supervisor rules. AML function and head/independent audit arrangements follow dimensional/organisational criteria; head and independent audit are required where appropriate to activity size/nature. Training measures are proportionate to risks, nature and size. Third-country paragraph 4-bis applies if local law prevents group compliance and the specified fallback measures prove insufficient.
Exceptions
Do not generalise an identical AML-function structure to every entity. Paragraph 2-bis prohibits preventive, general exclusion of categories solely because of potential high ML/TF exposure; it is not a general rule that every customer must be onboarded or that individual risk assessment may not affect service. Third-country prohibitions require the statutory trigger and risk-reduction insufficiency stated in paragraph 4-bis.

**Article 16-ter (Analysis of risks relating to financing the proliferation of weapons of mass destruction)** 1. In exercising its functions under Article 5, the Financial Security Committee shall identify, analyse and assess the national risk of financing the proliferation of weapons of mass destruction, understood as the risk of failing to implement or evading targeted financial sanctions connected with financing proliferation. The analysis shall be conducted every three years, without prejudice to the Committee's ability to update it when new risks arise and whenever it considers appropriate. 2. The results of the analysis shall be made available to obliged entities and self-regulatory bodies in the methods and time limits set by the Financial Security Committee, so they can assess risks of potential failure to implement or evasion of targeted financial sanctions connected with proliferation financing and adopt mitigation measures proportionate and appropriate to the identified risk. 3. An obliged entity's assessment of proliferation-financing risk under Article 15 may be integrated with its money-laundering or terrorist-financing risk assessment and shall be taken into account when adopting mitigation procedures under Article 16. 4. Obliged entities shall adopt safeguards and implement controls and procedures, appropriate to their nature and size, needed to mitigate and manage risks of failure to implement or evasion of targeted financial sanctions. Management and controls for that risk may form an integral part of existing targeted-financial-sanctions and compliance programmes used to manage and mitigate terrorist-financing risks.

Plain English

The Financial Security Committee assesses national proliferation-financing targeted-sanctions implementation/evasion risk every three years, with earlier updates as needed. It shares results for obliged entities/self-regulatory bodies to assess and mitigate; obliged entities must maintain nature/size-appropriate controls, and may integrate this assessment with ML/TF and existing sanctions-compliance programmes.

Obligation

Adopt safeguards, controls and procedures proportionate to the entity’s nature and size to mitigate and manage risks that targeted financial sanctions will not be applied or will be evaded.

**Article 17 (General provisions)** 1. Obliged entities carry out customer and beneficial-owner due diligence in relation to relationships and transactions connected with their institutional or professional activities: a) when establishing a business relationship or accepting an engagement to perform a professional service; b) when carrying out an occasional transaction instructed by a customer that involves a transfer or movement of means of payment in an amount equal to or greater than EUR 15,000, whether carried out in one transaction or through several transactions that appear connected to carry out a transaction split into parts; or where it consists of a transfer of funds or crypto-assets, as defined in Article 3(9) and (10) of Regulation (EU) 2023/1113 of the European Parliament and of the Council of 31 May 2023, exceeding EUR 1,000; and c) for gaming-service providers referred to in Article 3(6), when gaming transactions are carried out, including under Title IV of this Decree. 2. Obliged entities in all cases carry out customer and beneficial-owner due diligence: a) where there is suspicion of money laundering or terrorist financing, regardless of any applicable derogation, exemption or threshold; and b) where there are doubts about the truthfulness or adequacy of data previously obtained for identification. 3. Obliged entities apply customer-due-diligence measures proportionate to the level of money-laundering and terrorist-financing risk and demonstrate to the authorities referred to in Article 21-bis(1)(a) and to self-regulatory bodies that the measures adopted are adequate to the identified risk and based on up-to-date information, under Article 18(1)(d). When calibrating the extent of the measures, obliged entities take account at least of the following general criteria: a) regarding the customer: 1) its legal nature; 2) its principal activity; 3) its conduct when carrying out the transaction, establishing the business relationship or providing the professional service; and 4) the geographic area of the customer's or counterparty's residence or registered office; and b) regarding the transaction, business relationship or professional service: 1) its type; 2) how it is carried out; 3) its amount; 4) the frequency and volume of transactions and the duration of the business relationship or professional service; 5) whether it is reasonable in light of the customer's activity and the amount of economic resources available to the customer; and 6) the geographic destination of the product and the subject matter of the transaction, business relationship or professional service. 4. Obliged entities comply with this Chapter's provisions for new customers and for existing customers where due diligence is appropriate in light of a changed level of money-laundering or terrorist-financing risk associated with the customer. For existing customers, obliged entities also comply with those provisions when fulfilling obligations under Council Directive 2011/16/EU of 15 February 2011 on administrative cooperation in taxation, repealing Directive 77/799/EEC, and the relevant national legislation transposing it on administrative tax cooperation. 5. Customer-due-diligence obligations are also observed where banks, electronic-money institutions, payment institutions and Poste Italiane S.p.A. act as intermediaries or otherwise participate in a transfer, for any reason, between different persons of cash or bearer instruments, in euros or foreign currency, with a total amount equal to or greater than EUR 15,000. 6. For payment services and issuance and distribution of electronic money carried out through financial agents referred to in Article 3(3)(c), or through contracted entities and agents referred to in Article 1(2)(nn), banks, Poste Italiane S.p.A., payment institutions and electronic-money institutions (including those whose head office is in another Member State), and their branches, observe customer-due-diligence obligations for occasional transactions of any amount. For cash-withdrawal services, those obligations apply to occasional transactions exceeding a total of EUR 250 per day. Where services in this paragraph are provided through contracted entities and agents referred to in Article 1(2)(nn), Article 44(3) remains applicable. 7. Customer-due-diligence obligations do not apply to the activity of merely preparing and submitting, or only submitting, tax returns arising from tax obligations and personnel-administration filings under Article 2(1) of Law 11 January 1979, No 12.

Plain English

Article 17 requires customer and beneficial-owner due diligence at specified relationship, engagement, occasional-transaction and gaming triggers, and in all cases on ML/TF suspicion or doubt about prior identification data, regardless of threshold or exemption. Measures must be proportionate to risk and based on current information; demonstrate to Article 21-bis(1)(a) authorities and self-regulatory bodies that they are adequate to the risk. At minimum consider the customer's legal nature, principal activity, conduct, and residence/registered-office geography; and the transaction, relationship or service type and method, amount, frequency/volume and duration, reasonableness against activity/resources, destination and subject. For existing customers, apply the rules when due diligence is appropriate due to changed ML/TF risk and when meeting administrative-tax-cooperation obligations. Separately, banks, electronic-money institutions, payment institutions and Poste Italiane must conduct due diligence when they intermediate or participate as a party in cash or bearer-instrument transfers between different persons totaling at least EUR 15,000. Paragraph 6 sets a separate defined-agent perimeter; its EUR 250 daily threshold applies only to occasional cash withdrawals in that service perimeter. A narrow filing-only exception applies.

Obligation

Carry out customer and beneficial-owner due diligence at Article 17 triggers; always do so on ML/TF suspicion or doubts about identification data. Apply risk-proportionate measures based on current information, demonstrate their adequacy to Article 21-bis(1)(a) authorities and self-regulatory bodies, and at minimum assess the four customer factors and six transaction/relationship/service factors in paragraph 3.

Translation: Obliged entities in all cases carry out customer and beneficial-owner due diligence: (a) where there is suspicion of money laundering or terrorist financing, regardless of any applicable derogation, exemption or threshold; and (b) where there are doubts about the truthfulness or adequacy of data previously obtained for identification.

Triggers: establishing an ongoing relationship or accepting a professional engagement; a customer-instructed occasional payment movement of at least EUR 15,000, including apparently linked/split transactions; a funds or crypto-asset transfer over EUR 1,000 under the cited EU definitions; and gaming transactions for Article 3(6) providers. Due diligence also applies in every case on ML/TF suspicion, regardless of exemption/threshold, or doubt about the truthfulness/adequacy of prior identification data. Under paragraph 3, measures are proportionate to risk, based on current information, and their adequacy must be demonstrated to Article 21-bis(1)(a) authorities and self-regulatory bodies. At minimum assess: (customer) legal nature, principal activity, conduct at transaction/relationship/service, and customer/counterparty residence or registered-office geography; (transaction/relationship/service) type, method, amount, frequency and volume and relationship/service duration, reasonableness against customer activity/resources, and geographic destination and subject. For existing customers, apply due diligence where appropriate because their ML/TF risk level has changed, and when discharging obligations under Directive 2011/16/EU and relevant national administrative-tax-cooperation implementing law. Separately, paragraph 5 requires banks, electronic-money institutions, payment institutions and Poste Italiane, when acting as intermediary or party, to conduct due diligence on cash or bearer-instrument transfers in euros or foreign currency for any reason between different persons that total at least EUR 15,000. Paragraph 6 covers banks, Poste Italiane, payment institutions and electronic-money institutions (including institutions headquartered in another Member State) and branches of institutions headquartered in another Member State, when payment services or e-money issuance/distribution are provided through financial agents under Article 3(3)(c) or contracted entities/agents under Article 1(2)(nn). In that service perimeter, occasional payment/e-money transactions of any amount require due diligence; occasional cash withdrawals require it only when the total exceeds EUR 250 per day. For services through Article 1(2)(nn) entities/agents, Article 44(3) remains applicable.
Exceptions
Paragraph 7 excludes only merely preparing and submitting, or submitting alone, the specified tax returns and personnel-administration filings. It does not displace paragraph 2 suspicion or identification-data-doubt triggers. The EUR 250/day threshold is not a general cash-withdrawal rule: it concerns occasional cash withdrawals only within paragraph 6's named institutions, branches of institutions headquartered in another Member State, and specified agent-delivered payment/e-money services. Occasional payment/e-money transactions in that perimeter have no minimum amount. Where the service is through Article 1(2)(nn) contracted entities/agents, Article 44(3) remains applicable. Keep distinct: paragraph 1's customer-instructed occasional-payment trigger at EUR 15,000 or more; paragraph 5's named-institution cash/bearer-transfer trigger at EUR 15,000 or more; the paragraph 1 funds/crypto-transfer trigger over EUR 1,000; and paragraph 6's occasional cash-withdrawal threshold over EUR 250 total per day in its defined service perimeter.

**Article 18 (Content of customer-due-diligence obligations)** 1. Customer-due-diligence obligations are carried out through: a) identifying the customer and verifying the customer's identity on the basis of documents, data or information obtained from a reliable and independent source. The same measures are carried out for the person acting for the customer, including verification of the existence and extent of the representative authority under which that person acts in the customer's name and on the customer's behalf; b) identifying the beneficial owner and verifying that person's identity through measures proportionate to risk, including, specifically for beneficial ownership of legal persons, trusts and other similar legal arrangements and entities, measures that make it possible to reconstruct the customer's ownership and control structure with reasonable reliability; c) obtaining and assessing information on the purpose and nature of the business relationship or professional service. This means information about establishing the relationship, the relationships between the customer and the person acting for the customer and between the customer and the beneficial owner, and information about employment or business activity. Depending on risk, further information may also be obtained, including information about the customer's financial and asset position, acquired or held through the conduct of the obliged entity's activity. Where money-laundering and terrorist-financing risk is high, obliged entities apply this information-gathering and assessment procedure to occasional services or transactions as well; and d) ongoing monitoring of the customer relationship throughout its duration, by examining the customer's activity as a whole and verifying and updating data and information obtained under points (a), (b) and (c). Depending on risk, this may also include checking the origin of funds and resources available to the customer, based on information acquired or held through the conduct of the obliged entity's activity. 2. The activities of identifying and verifying the identity of the customer, the person acting for the customer and the beneficial owner under paragraph 1(a) and (b) are carried out before establishing the business relationship, accepting an engagement to provide a professional service, or carrying out the occasional transaction. 3. Where money-laundering or terrorist-financing risk is low, verification of the identity of the customer, the person acting for the customer and the beneficial owner may be postponed until after establishing the relationship or accepting the professional engagement, if necessary to allow ordinary management of the activity covered by the relationship. In that case, obliged entities must still obtain identifying data for the customer, the person acting for the customer and the beneficial owner, and data on the type and amount of the transaction, and must complete identity-verification procedures as soon as possible and in any event within 30 days after establishing the relationship or accepting the engagement. After that period, if they find it objectively impossible to complete verification of the customer's identity, obliged entities refrain from acting under Article 42 and assess, where the conditions are met, whether to submit a suspicious-transaction report under Article 35. 4. Without prejudice to identification obligations, professionals are exempt from verifying the identity of the customer and beneficial owner until the engagement is accepted, but only where they are assessing their customer's legal position, performing defence or representation duties for the customer in proceedings before a judicial authority or in connection with such proceedings (including through a lawyer-assisted negotiation agreement under law), or advising on the possibility of bringing or avoiding such proceedings.

Plain English

Article 18 specifies the CDD actions required under Article 17: identify and verify the customer and representative; identify and verify the beneficial owner with risk-proportionate ownership/control measures; understand the relationship purpose and nature; and monitor the relationship continuously. Identity verification is normally before onboarding/transaction. In limited low-risk cases it can be completed within 30 days after relationship start if necessary for ordinary management and required identifying/transaction data are already collected. If objectively impossible after that, the entity must abstain and consider an STR. A narrow professional legal-work exception delays identity verification, not identification, until engagement.

Obligation

Perform customer and representative identification/identity verification; identify and risk-proportionately verify the beneficial owner; obtain and assess relationship purpose/nature information; and continuously monitor and update the relationship, with risk-based further information/source-of-funds checks. Perform identity verification before the relationship/engagement/occasional transaction except for the specified low-risk deferral or professional legal-work exception.

Conditions
CDD includes identity, beneficial ownership, purpose/nature and ongoing-monitoring components. Verification is generally before onboarding/engagement/occasional transaction. High-risk cases require the purpose/nature procedure for occasional services/transactions. Low-risk deferral requires necessity for ordinary management, advance collection of identifying and transaction-type/amount data, and completion ASAP and within 30 days. If objectively impossible by the deadline, abstain under Article 42 and assess STR under Article 35. Paragraph 4 delays verification until engagement for professionals doing only the specified legal-position, defence/representation or litigation-advice work; identification remains due.
Exceptions
No general universal document list is stated. The low-risk deferral is limited and does not remove advance data collection or extend to high-risk cases. The professional exception delays verification only until engagement and only for the specified legal-proceedings work; it does not remove identification obligations.

**Article 19 (Methods for meeting customer-due-diligence obligations)** 1. Obliged entities meet customer-due-diligence obligations as follows: a) The customer and beneficial owner are identified in the presence of the customer or the person acting for the customer, including by employees or collaborators of the obliged entity. Identification consists of obtaining identifying data supplied by the customer after presentation of a valid identity document or equivalent identification document under applicable law; a paper or electronic copy is obtained. The customer also supplies, under the customer's own responsibility, information needed to identify the beneficial owner. Identification is also considered completed without the customer's physical presence in the following cases: 1) the customer's identifying data appear in public instruments, authenticated private instruments or qualified certificates used to generate a digital signature associated with electronic documents under Article 24 of Legislative Decree 7 March 2005, No 82; 2) the customer has a digital identity with at least a substantial assurance level within the system under Article 64 of that Legislative Decree and its implementing rules; or a digital identity with at least a substantial assurance level issued under an electronic-identification scheme included in the list published by the European Commission under Article 9 of Regulation (EU) No 910/2014; or a certificate for generating a qualified electronic signature; or is identified through secure and regulated electronic-identification procedures or procedures authorised or recognised by the Agency for Digital Italy; 3) the customer's identifying data appear in a declaration by the Italian diplomatic mission and consular authority referred to in Article 6 of Legislative Decree 26 May 1997, No 153; 4) the customer has already been identified by the obliged entity for another existing relationship or professional service, provided the existing information is up to date and adequate for the customer's specific risk profile; 4-bis) after electronic identification based on credentials meeting the requirements in Article 4 of Commission Delegated Regulation (EU) 2018/389 of 27 November 2017, the customer initiates a credit transfer to a payment account held in the name of the entity required to identify the customer. This identification and identity-verification method may be used only for relationships concerning payment cards and similar devices, and payment instruments based on telecommunications, digital or IT devices, excluding cases where those cards, devices or instruments can be used to generate the information needed to initiate a credit transfer or direct debit directly to or from a payment account; 4-ter) a customer already identified by an obliged entity, after electronic identification based on credentials meeting Article 4 of Commission Delegated Regulation (EU) 2018/389, permits the entity required to identify the customer to access information about the details of the customer's payment account held with that obliged entity in an EU Member State. This method of identification and identity verification may be used only for relationships concerning payment-initiation services and account-information services under Article 1(2)(h-septies.1), points 7 and 8, of the Consolidated Banking Act in Legislative Decree 1 September 1993, No 385. In every case, the entity required to identify the customer obtains the customer's first and last names; 5) the customer's identifying data are obtained through suitable forms and methods identified by sectoral supervisory authorities in exercising their functions under Article 7(1)(a), taking account of developments in remote-identification techniques; b) Verification of the identity of the customer, beneficial owner and person acting for the customer requires checking the truthfulness of identifying data in the documents and information obtained at identification only where doubts, uncertainty or inconsistencies concerning them exist. The check may be made through consultation of the public system for preventing identity theft under Legislative Decree 11 April 2011, No 64. Identity may also be verified using other reliable and independent sources, including databases accessible to the public or subject to authentication credentials and attributable to a public administration, and databases attributable to private entities authorised to issue digital identities within the system under Article 64 of Legislative Decree No 82 of 2005 or under an electronic-identification scheme included in the European Commission list under Article 9 of Regulation (EU) No 910/2014. For customers that are not natural persons, and for trustees of express trusts and persons exercising equivalent rights, powers or faculties in similar legal arrangements, beneficial-owner identity verification requires risk-proportionate measures suitable to understand the customer's ownership and control structure; c) Information is obtained and assessed on the purpose and nature of the business relationship or professional service by checking the compatibility of information supplied by the customer with information independently obtained by the obliged entity, also having regard to all transactions carried out during that relationship or other previously maintained relationships, and to the establishment of further relationships; and d) Ongoing monitoring during a business relationship or professional service is carried out by analysing transactions and activities performed or identified throughout the relationship, to check that they are consistent with the obliged entity's knowledge of the customer and the customer's risk profile, including, where necessary, the origin of funds. 2. The extent of the checks, assessment and monitoring under paragraph 1 is proportionate to the level of risk identified. 3. Obliged entities referred to in Article 3(2) also apply due-diligence measures to the beneficiary of an insurance benefit as soon as that beneficiary is identified or designated, and to the actual recipient of the benefit paid and their respective beneficial owners. Those measures consist of: a) obtaining the name or business name of the person specifically identified or designated as beneficiary; and b) where a beneficiary is designated by particular characteristics or classes, obtaining sufficient information to enable the obliged entity to establish that beneficiary's identity when the benefit is paid.

Plain English

Article 19 supplies CDD execution methods, including the in-person baseline and a closed set of conditional non-presence identification paths, identity-verification methods, customer-information checks and ongoing monitoring. The extent of controls must track identified risk. Insurance-sector obliged entities also identify/verify beneficiaries and actual recipients under the specific provisions. The permitted electronic paths have distinct prerequisites and scope restrictions; none is asserted here to be currently enabled.

Obligation

Carry out CDD through the methods and controls in Article 19: customer/beneficial-owner/representative identification; verification using permitted reliable sources and doubt-sensitive checks; purpose/nature assessment against independently obtained information; continuous monitoring calibrated to risk; and, for Article 3(2) entities, the stated insurance-beneficiary and payment-recipient checks.

)) (( 5. **Article 20 (Criteria for determining the beneficial owner of customers other than natural persons)** 1. The beneficial owner of a customer other than a natural person is the natural person or persons to whom, ultimately, direct or indirect ownership of the entity or control of it is attributable. 2. Where the customer is a capital company: a) a natural person's holding of more than 25 per cent of the customer's capital is an indication of direct ownership; and b) a holding of more than 25 per cent of the customer's capital held through controlled companies, fiduciary companies or an intermediary is an indication of indirect ownership. 3. If examination of the ownership structure does not uniquely identify the natural person or persons to whom direct or indirect ownership of the entity is attributable, the beneficial owner is the natural person or persons to whom control of it is ultimately attributable by virtue of: a) control of a majority of votes exercisable at the ordinary shareholders' meeting; b) control of votes sufficient to exercise dominant influence at the ordinary shareholders' meeting; or c) particular contractual ties that enable dominant influence to be exercised. 4. Where the customer is a private legal person under Presidential Decree 10 February 2000, No 361, the following are cumulatively identified as beneficial owners: a) the founders, if living; b) the beneficiaries, where identified or readily identifiable; and c) the holders of powers of legal representation, management and administration. 5. If applying the criteria in the preceding paragraphs does not uniquely identify one or more beneficial owners, the beneficial owner is the natural person or persons who, in accordance with the respective organisational or statutory arrangements, hold powers of legal representation, administration or management of the company or customer that is in any event other than a natural person. 6. Obliged entities retain a record of the checks carried out to identify the beneficial owner and, specifically for a beneficial owner identified under paragraph 5, the reasons why identification under paragraphs 1, 2, 3 and 4 of this Article was not possible.

Plain English

For non-natural-person customers, identify the natural person(s) who ultimately own or control the entity using the Article 20 sequence: ownership; control if ownership does not resolve identity; cumulative categories for the specified private legal persons; and a senior-office fallback only if prior tests fail. Keep a record of checks, and document why earlier criteria did not identify the person when relying on the final fallback.

Obligation

Determine and verify the natural-person beneficial owner of each non-natural-person customer using the applicable sequential ownership/control and legal-entity criteria; retain evidence of the checks and, if using the paragraph 5 fallback, record why paragraphs 1-4 did not identify a beneficial owner.

First assess ultimate direct/indirect ownership or control. For capital companies, more-than-25% holdings indicate direct/indirect ownership. If ownership does not uniquely identify the person, apply paragraph 3 control tests. For a private legal person under DPR 361/2000, identify founders (if living), identified/readily identifiable beneficiaries and specified legal representatives/management/administration cumulatively. **Article 21-ter (Access by obliged entities)** 1. Obliged entities shall promptly access beneficial-ownership information in the autonomous and special sections of the Companies Register, communicated under Article 21(1) and (3) using the methods in the ministerial decree under Article 21(5), solely to support customer-due-diligence obligations under this Chapter. 2. An obliged entity's access is subject to prior accreditation and payment of the administrative fees in Article 21-septies, covering the costs of maintaining and accessing the autonomous and special sections of the Companies Register. 3. An obliged entity shall submit its accreditation request electronically to the territorially competent Chamber of Commerce. The request shall state: (a) that the applicant belongs to one or more categories of obliged entities; (b) its identifying details, including its certified electronic-mail address, and, if it is a legal person, those of its legal representative; (c) the competent sectoral supervisory authority under Article 1(2)(c), or self-regulatory body under Article 1(2)(aa), and, if applicable, the interested administrations/bodies under Article 1(2)(a); (d) the purpose for using beneficial-ownership data and information to support CDD obligations. 4. Accreditation is notified to the obliged entity by certified electronic mail and permits access for two years from the initial accreditation or its express renewal. The entity shall report any change in its obliged-entity status or cessation of that status within ten days. 5. Accredited obliged entities, while remaining responsible for compliance with the purpose limitation in paragraph 1, may designate persons within their organisation who support AML/CFT compliance as access delegates. 6. The operator of the national information system under Article 8 of Law No. 580 of 29 December 1993 shall provide specific functions allowing accredited obliged entities to access through technical IT systems they identify for connection to the operator's system, without prejudice to the entity's responsibility for the purpose limitation in paragraph 1. For this purpose, the operator shall identify technical measures to ensure data security under Article 32 of Regulation (EU) 2016/679 and applicable national personal-data-protection law. 7. Accredited obliged entities shall promptly notify the territorially competent Chamber of Commerce of any discrepancy between beneficial-ownership information obtained by consulting the autonomous/special Companies Register sections and information obtained through customer due diligence under this Chapter. The authorities authorised under Article 21-bis may consult such notifications under that Article's paragraph 2 agreements, while ensuring anonymity of the obliged entities that reported them. 8. The accreditation request in paragraph 3, status confirmation/change/cessation notices in paragraph 4, delegate designations in paragraph 5 and discrepancy reports in paragraph 7 shall be made by substitute declaration under Articles 46 and 47 of the Consolidated Law on administrative documentation, Presidential Decree No. 445 of 28 December 2000. 9. The territorially competent Chamber of Commerce shall verify declarations under paragraph 8 under Articles 70 and 71 of Presidential Decree No. 445/2000. For this purpose, sectoral supervisory authorities, self-regulatory bodies and interested administrations/bodies shall, on request, provide useful information, including under agreements with Unioncamere and the national information-system operator. 10. Where an obliged entity seeks information about a beneficial owner who has submitted the declaration under Article 21-sexies(2), the Chamber of Commerce may exclude all or part of access within the time limits and procedure in that Article. 11. Consulting the autonomous or special Companies Register section under this Article does not exempt obliged entities from assessing the ML/TF risk to which they are exposed in their activities and adopting measures appropriate to that risk. 12. An obliged entity that consults either register section to support beneficial-owner CDD shall obtain and retain proof of that beneficial owner's registration in the relevant section or retain an extract suitable to document that registration.

**Article 22 (Customer obligations)** 1. Customers provide in writing, under their own responsibility, all necessary and up-to-date information to enable obliged entities to meet their customer-due-diligence obligations. 2. For the purposes of this Decree, enterprises with legal personality and private legal persons obtain and retain adequate, accurate and up-to-date information about their beneficial ownership for at least five years, and provide it to obliged entities when needed for customer due diligence. 3. For enterprises with legal personality required to be registered in the Companies Register under Article 2188 of the Civil Code, the directors obtain the information in paragraph 2 by requesting it from the beneficial owner identified under Article 20. They also use information in the accounting records and financial statements, register of shareholders, communications about the entity's ownership or control structure that the enterprise is required to make under applicable rules, communications received from shareholders and any other data available to them. If doubts about beneficial ownership remain, the directors obtain the information by expressly requesting it from shareholders for whom further examination of the extent of their interest in the entity is necessary. A shareholder's unjustified failure or refusal to provide directors with information they consider necessary to identify the beneficial owner, or the provision of information that is manifestly fraudulent, makes the related voting right incapable of exercise and makes resolutions adopted with that shareholder's decisive vote challengeable under Civil Code Article 2377. Where compatible, Civil Code Article 2341-ter, TUF Articles 120 and 122, and CAP Articles 74 and 77 apply. 4. Information under paragraph 2 concerning private legal persons required to be registered in the Register of Private Legal Persons under Presidential Decree 10 February 2000, No 361, as amended, is obtained by the founder, if living, or by the persons responsible for the entity's representation and administration. They request it from the beneficial owner identified under Article 20 and may also use information in the statute, constitutive instrument, accounting records and any other communication or data available to them. 5. Trustees of express trusts governed by Law 16 October 1989, No 364, and persons exercising equivalent rights, powers and faculties in similar legal arrangements, provided they are established or resident in Italy, obtain and hold adequate, accurate and up-to-date beneficial-ownership information about the trust or similar arrangement. This means information about the identity of the settlor(s), trustee(s), protector(s) or other person acting for a trustee, if any; the beneficiaries or class of beneficiaries; other natural persons exercising control over the trust or similar arrangement; and any other natural person who ultimately controls the assets placed in it through direct or indirect ownership or other means. Trustees and persons exercising equivalent rights, powers and faculties retain that information for at least five years after ceasing to act as trustee and make it promptly available to the authorities referred to in Article 21-bis(1)(a) and (b). Trustees who, in that capacity, establish a business relationship or professional engagement or carry out an occasional service declare their status to the obliged entities. 5-bis. For the purposes of this Decree, arrangements similar to trusts are entities and arrangements whose structure and functions produce legal effects equivalent to those of express trusts, including having regard to allocation of assets to a purpose and control by a person other than the owner, in the interest of one or more beneficiaries or to pursue a specific purpose. 5-ter. Obliged entities ensure that information under this Article obtained through customer-due-diligence procedures is promptly made available to the authorities referred to in Article 21-bis(1)(a) for the exercise of their respective functions.

Plain English

Customers must provide written, current information needed for CDD. Certain legal entities retain beneficial-ownership information at least five years and supply it to obliged entities; directors/founders/administrators have specified collection roles. Trust trustees have their own information, retention, authority-access and status-disclosure duties. Obliged entities promptly make CDD-derived information available to designated authorities. The statute provides limited shareholder consequences for unjustified non-cooperation/refusal or manifestly fraudulent information.

Obligation

Promptly make information under Article 22 obtained through customer due-diligence procedures available to the authorities specified in Article 21-bis(1)(a). Separate information, retention and disclosure duties in paragraphs 1-5 apply to a financial firm only when it itself occupies the specified customer, legal-person, administrator, trustee or equivalent-holder role, with distinct retention periods and role-specific triggers.

5-ter.

Conditions
For the mapped CDD-provider duty, the obliged entity promptly supplies information obtained under this Article to the authorities named in Article 21-bis(1)(a). Corporate retention is at least five years; trustee retention runs for five years from cessation of that role. The CDD provider is not thereby made its customer’s director or trustee.

Where money-laundering or terrorist-financing risk is low, obliged entities may apply simplified customer-due-diligence measures as regards the extent and frequency of the requirements in Article 18. 2. When applying simplified customer due diligence, and without prejudice to the obligation to calibrate its extent to the risk actually identified, obliged entities take account, among other matters, of the following low-risk indicators: a) indicators relating to customer types, such as: 1) companies admitted to trading on a regulated market and subject to disclosure requirements that ensure adequate transparency of beneficial ownership; 2) public administrations or institutions or bodies performing public functions in accordance with European Union law; and 3) customers resident in low-risk geographic areas under point (c); b) indicators relating to types of products, services, transactions or distribution channels, such as: 1) life-insurance contracts in the classes under Article 2(1) CAP, where the annual premium does not exceed EUR 1,000 or a single premium does not exceed EUR 2,500; 2) supplementary pension schemes governed by Legislative Decree 5 December 2005, No 252, provided they contain no surrender clauses other than those in Article 14 of that Decree and cannot serve as security for a loan except where permitted by law; 3) pension schemes or similar systems paying retirement benefits to employees, where contributions are made by payroll deduction and beneficiaries cannot transfer their rights; 4) financial products or services providing appropriately defined and restricted services to particular customer types to promote financial inclusion; and 5) products where money-laundering or terrorist-financing risks are mitigated by factors such as spending limits or ownership transparency; and c) geographic-risk indicators relating to registration, residence or establishment in: 1) Member States; 2) third countries with effective systems for preventing money laundering and terrorist financing; 3) third countries that authoritative and independent sources assess as having low levels of corruption or exposure to other criminal activity; and 4) third countries that, according to reliable and independent sources, such as mutual evaluations or published detailed assessment reports, provide for and effectively implement safeguards against money laundering and terrorist financing consistent with FATF Recommendations. 3. Sectoral supervisory authorities, exercising their functions under Article 7(1)(a), and self-regulatory bodies, in accordance with the technical rules under Article 11(2), may identify additional risk factors to supplement or amend the list in the preceding paragraph and establish simplified due-diligence measures for low-risk situations. In exercising those same functions, sectoral supervisory authorities may identify types of simplified due-diligence measures that banks and electronic-money institutions are authorised to apply to electronic-money products if all the following conditions are met: a) the payment instrument is not reloadable, or a maximum monthly use limit of EUR 150 is set and the amount may be spent only within Italy; b) the maximum amount stored on the device does not exceed EUR 150; c) the payment instrument is used exclusively to purchase goods or services; d) the payment instrument is not funded with anonymous electronic money; e) the issuer monitors transactions in a way suitable to detect anomalous or suspicious transactions; f) if the amount stored on the device exceeds EUR 50, that amount is not refunded or withdrawn in cash; and f-bis) the payment instrument is not used for remote payment transactions, as defined in Article 4(7) of Directive (EU) 2015/2366, where the transaction amount exceeds EUR 50. 4. Simplified customer due diligence is in all cases excluded where there is suspicion of money laundering or terrorist financing.

Plain English

Obliged entities may reduce the extent/frequency of Article 18 measures only when the actual risk is low; the examples are indicators, not automatic safe harbours. Authorities may supplement or amend factors and set measures. A narrower e-money route is available only for supervisor-authorised measure types and when every listed limit/control is met. Any ML/TF suspicion rules out simplified CDD.

Obligation

Use simplified CDD only where actual ML/TF risk is low, calibrate the degree to actual risk and applicable supervisor/self-regulatory rules, and never apply simplified measures where suspicion exists. Apply any special e-money simplification only under an authorised measure and only when all cumulative conditions are met.

Actual low ML/TF risk is required, and measure extent must remain commensurate with actual risk. Risk indicators are non-exhaustive. Special e-money simplified measures apply only if supervisor-identified/authorised and all criteria are met: non-reloadable or monthly EUR 150 Italy-only limit; stored balance max EUR 150; goods/services purchases only; no anonymous e-money funding; issuer anomaly/suspicion monitoring; no cash refund/withdrawal where balance exceeds EUR 50; and no remote payment above EUR 50.
Exceptions
Listed customer/product/geographic indicators do not automatically make an entity low risk or exempt it from CDD. Simplified CDD is prohibited whenever there is ML/TF suspicion. E-money criteria are cumulative and limited to the named institutions and authorised measure types.

Where money-laundering or terrorist-financing risk is high, obliged entities apply enhanced customer-due-diligence measures. 2. When applying enhanced due diligence, obliged entities take account of at least the following factors: a) customer-related risk factors, such as: 1) business relationships or professional services established or carried out in unusual circumstances; 2) customers resident or established in high-risk geographic areas under point (c); 3) structures that may be characterised as asset-interposition vehicles; 4) companies that have issued bearer shares or are held through fiduciaries; 5) types of economic activity characterised by extensive use of cash; and 6) an ownership structure of the customer company that is unusual or excessively complex given the nature of its activity; b) risk factors relating to products, services, transactions or distribution channels, such as: 1) highly customised services offered to customers with substantial wealth; 2) products or transactions that could facilitate anonymity; 3) remote business relationships, professional services or occasional transactions not supported by secure and regulated electronic-identification procedures, or by procedures authorised or recognised by the Agency for Digital Italy; 4) payments received from third parties with no evident connection to the customer or its activity; 5) new-generation products and commercial practices, including innovative distribution mechanisms and use of innovative or developing technologies for new or existing products; and 5-bis) transactions involving oil, weapons, precious metals, tobacco products, cultural artefacts and other movable property of archaeological, historical, cultural or religious importance or of rare scientific value, as well as ivory and protected species; c) geographic risk factors, such as those relating to: 1) third countries considered, on the basis of reliable and independent sources such as mutual evaluations or public detailed assessment reports, to lack effective safeguards against money laundering and terrorist financing consistent with FATF Recommendations; 2) third countries that authoritative and independent sources assess as having high levels of corruption or exposure to other criminal activity; 3) countries subject to sanctions, embargoes or similar measures issued by competent national or international bodies; and 4) countries that finance or support terrorist activity or in which terrorist organisations operate. 3. For enhanced-due-diligence purposes, obliged entities examine the context and purpose of transactions involving unusually high amounts or whose purpose is doubtful in practice, and in all cases intensify the degree and nature of checks aimed at determining whether the transactions are suspicious. 4. Sectoral supervisory authorities, exercising their functions under Article 7(1)(a), and self-regulatory bodies, in accordance with technical rules under Article 11(2), may identify additional risk factors to supplement or amend the list in paragraph 2 and may establish enhanced-due-diligence measures, in addition to those in Article 25, for high-risk situations. 5. Obliged entities always apply enhanced customer due diligence in the following cases: a) business relationships, professional services and transactions involving high-risk third countries; b) cross-border correspondent relationships involving execution of payments with a credit institution or financial institution correspondent in a third country, or involving crypto-asset services with a banking or financial intermediary correspondent in a third country; and c) business relationships, professional services or transactions with customers and their beneficial owners who are politically exposed persons, except where those persons act as officials of public administrations. In those cases, obliged entities apply customer-due-diligence measures proportionate to the risk actually identified, also taking account of Article 23(2)(a)(2). 6. Where money-laundering or terrorist-financing risk is high, obliged entities apply enhanced customer due diligence to customers originally identified as politically exposed persons who ceased to hold the relevant public office more than one year ago. The same applies where the beneficiary of an insurance benefit or the beneficial owner of that beneficiary was a politically exposed person. 6-bis. Based on risk, obliged entities assess whether to apply enhanced due diligence to branches or subsidiaries established in high-risk third countries and controlled by obliged entities established in Italy or another Member State, where those branches or subsidiaries comply with group policies and procedures under Article 45 of the Directive.

Plain English

Apply enhanced CDD when risk is high, considering at least the listed customer/product/geography factors; conduct deeper analysis for unusually large or purpose-doubtful transactions. Enhanced measures are mandatory for specified high-risk-country, correspondent and PEP cases, with a defined public-administration PEP exception and actual-risk measures. Former PEP and certain group-branch cases are subject to separate high-risk/risk-based tests.

Obligation

Apply enhanced CDD when ML/TF risk is high; consider at least the listed customer, product/channel and geographic risk factors; examine context/purpose and intensify checks for unusually large or purpose-doubtful transactions; always apply enhanced CDD in the specified high-risk-country, correspondent and PEP cases, including the public-administration PEP exception; apply the additional former-PEP and risk-based group-branch rules.

High risk requires enhanced CDD. Paragraph 2 factors are at least the listed minimum and do not themselves establish high risk in every case. Paragraph 3 requires context/purpose review and intensified checks for unusually high amounts or doubtful purposes. Paragraph 5 makes enhanced CDD mandatory for specified high-risk-country links, correspondent links and PEP customers/beneficial owners, with the public-administration official-capacity exception handled by actual-risk-calibrated measures. Former PEP cases under paragraph 6 require high risk and cessation more than one year earlier. Paragraph 6-bis requires a risk-based assessment for the specified group-controlled high-risk-country branches/subsidiaries that comply with group policy.

**Article 25 (Methods for performing enhanced customer-due-diligence obligations)** 1. Where money-laundering or terrorist-financing risk is high, obliged entities apply enhanced customer due diligence by obtaining additional information about the customer and beneficial owner, examining more deeply the elements supporting assessments of the purpose and nature of the relationship, and increasing the frequency of procedures intended to ensure ongoing monitoring throughout a business relationship or professional service. 2. For cross-border correspondent relationships involving payments with a correspondent credit or financial institution in a third country, banking and financial intermediaries, in addition to ordinary CDD measures, take the following additional measures when the relationship is initiated: a) obtain sufficient information about the correspondent credit or financial institution to fully understand its ownership structure and the nature of its activities, and to determine, on the basis of public registers, lists, instruments or documents, the quality and effectiveness of supervision to which it is subject; b) assess the quality of the foreign correspondent institution's controls for preventing money laundering and terrorist financing; c) obtain authorisation from persons holding management or executive powers, their delegates or persons performing an equivalent function before opening new correspondent accounts; d) set out in writing the terms of the agreement with the correspondent institution and each party's obligations; e) ensure that the foreign correspondent institution has carried out CDD on its customers with direct access to payable-through accounts, that it continuously monitors its relationships with those customers, and that, on request, it can provide relevant CDD data to the obliged counterparty intermediary; and f) continuously monitor the relationship with the correspondent institution at a frequency and intensity proportionate to the correspondent service provided. 3. Banking and financial intermediaries are prohibited from opening or maintaining, directly or indirectly, correspondent accounts with shell banks. 4. Obliged entities establish adequate risk-based procedures to determine whether a customer is a politically exposed person. For business relationships, professional services or transactions with PEPs, in addition to ordinary CDD, they apply the following measures: a) obtain authorisation from persons holding management or executive powers, their delegates or persons performing an equivalent function before starting, continuing or maintaining a business relationship or professional service, or carrying out an occasional transaction with those customers; b) apply appropriate measures to establish the origin of wealth and funds used in the business relationship or transaction; and c) ensure continuous enhanced monitoring of the business relationship or professional service. 4-bis. For business relationships, professional services and transactions involving high-risk third countries, in addition to paragraph 1, obliged entities: a) obtain additional information about the purpose and nature of the business relationship or professional service; b) obtain information about the source of funds and the financial and asset position of the customer and beneficial owner; c) obtain information about the reasons for intended or completed transactions; d) obtain authorisation from persons holding management or executive powers, their delegates or persons performing an equivalent function before starting, continuing or maintaining a business relationship or professional service, or carrying out a transaction involving a high-risk third country; and e) ensure continuous enhanced monitoring of the business relationship or professional service by increasing the frequency and intensity of checks and identifying transaction patterns for further examination. 4-ter. In the cases in paragraph 4-bis, sectoral supervisory authorities, exercising their functions under Article 7(1)(a), and self-regulatory bodies, in accordance with technical rules under Article 11(2), may provide for additional enhanced CDD measures. Sectoral supervisory authorities may also provide for periodic reporting on transactions involving high-risk third countries, restrictions on starting or continuing business relationships, or a prohibition on transactions with persons resident or established in those countries. 4-quater. To contain money-laundering and terrorist-financing risks associated with high-risk third countries, sectoral supervisory authorities, exercising their functions and for purposes of this Decree, may, where considered necessary, adopt one or more of the following measures: a) refuse authorisation to conduct banking or financial business in Italy to companies controlled by intermediaries based in high-risk third countries, or refuse those intermediaries authorisation to establish branches in Italy; b) refuse authorisation to banking and financial intermediaries based in Italy to establish branches in those high-risk third countries; c) require banking and financial intermediaries based in Italy to strengthen controls on correspondent accounts and equivalent relationships with correspondent intermediaries based in those countries and, if necessary, close them; and d) require banking and financial intermediaries based in Italy to intensify checks, including inspections, of controlled companies or branches established in high-risk third countries. 5. Where the beneficiary of an insurance benefit or that beneficiary's beneficial owner is a politically exposed person, obliged entities, when paying the benefit or assigning the contract, apply the following additional measures: a) inform senior management before paying the policy proceeds; and b) carry out more in-depth checks of the entire relationship with the policyholder.

Article 25 translates enhanced CDD into concrete measures for high-risk cases and dedicated regimes for correspondent payments, PEPs and high-risk third countries. It prohibits shell-bank correspondent accounts for banking/financial intermediaries. Supervisors may impose additional periodic reporting, relationship/transaction restrictions and other controls; those do not automatically apply to every entity absent the relevant supervisory measure. Insurance cases have extra checks at payment/contract assignment.

Obligation

For high-risk cases, obtain additional information, deepen purpose/nature assessment and increase monitoring frequency. Apply the specific correspondent, PEP, high-risk third-country and insurance-beneficiary measures where their separate triggers apply; never open or maintain shell-bank correspondent accounts (banking/financial intermediaries).

Translation: Where money-laundering or terrorist-financing risk is high, obliged entities apply enhanced customer due diligence by obtaining additional information about the customer and beneficial owner, examining more deeply the elements that support assessments of the purpose and nature of the relationship, and increasing how frequently they apply procedures intended to ensure ongoing monitoring throughout a business relationship or professional service.

**Article 31 (Record-keeping obligations)** 1. Obliged entities retain documents, data and information useful for preventing, detecting or establishing any money-laundering or terrorist-financing activity, and for enabling analyses carried out, within their respective functions, by the Financial Intelligence Unit (UIF) or another competent Authority. 2. For the purposes in paragraph 1, obliged entities retain copies of documents obtained during customer due diligence and the originals, or copies with evidential value under the applicable law, of records and entries relating to transactions. At a minimum, the retained documentation must make it possible to reconstruct unambiguously: (a) the date on which the business relationship was established or the professional engagement was accepted; (b) the identifying data of the customer, beneficial owner and person acting for the customer, including, where available, data obtained through electronic-identification means and related trust services under Regulation (EU) No 910/2014, or through secure and regulated electronic-identification procedures or procedures authorised or recognised by the Agency for Digital Italy; and information about the purpose and nature of the relationship or service; (b-bis) any consultation, where performed, of the registers referred to in Article 21, in accordance with the procedures provided there; (c) the date, amount and reason/description of the transaction; and (d) the means of payment used. 3. The documents, data and information obtained are retained for 10 years from termination of the business relationship or professional service, or from execution of the occasional transaction.

Plain English

The retained text requires obliged entities to keep relevant AML/CFT records so competent authorities can analyse them. It specifies copies of CDD documents, transaction records with evidential value, and a minimum set of relationship, identity, purpose/nature, register-consultation (if any), transaction and payment details that must be reconstructable. It states a ten-year retention period from relationship/service end or an occasional transaction. This is not a universal list of every document to collect: the provision concerns records obtained and the minimum reconstruction fields; current force, interaction with data-protection rules and any sector-specific requirements remain unverified.

Obligation

Retain AML/CFT-relevant documents, data and information; preserve copies of CDD documents and originals or legally evidential copies of transaction records; ensure at least the specified events, parties, relationship purpose/nature, any Article 21 register consultation, transaction details and payment means can be reconstructed; apply the stated ten-year period from the specified end/event date, subject to current-law verification.

**Article 32 (Methods for retaining data and information)** 1. Obliged entities shall adopt systems for retaining documents, data and information that are suitable to ensure compliance with the provisions of the Personal Data Protection Code and to ensure that the material is processed exclusively for the purposes of this Legislative Decree. 2. The retention methods adopted must prevent any loss of data and information and be suitable to make it possible to reconstruct the customer's transactions or activity and to identify expressly the persons authorised to enter data into the retention system and access the data and information kept there. Those methods must also ensure: (a) complete and timely access to the data and information by the authorities referred to in Article 21-bis(1)(a) and (b); (b) timely acquisition by the obliged entity of the documents, data and information, with the date of acquisition recorded. Acquisition is considered timely when completed within 30 days from establishment of the business relationship or acceptance of the professional engagement; execution of the transaction or professional service; or variation or closure of the business relationship or professional service; (c) the integrity of the data and information and their protection against alteration after acquisition; and (d) the transparency, completeness and clarity of the data and information, and preservation of their history. 3. Obliged entities may use an independent service centre to retain documents, data and information, provided that the obliged entity remains responsible and is given direct and immediate access to the retention system.

Plain English

Article 32 specifies controls for systems used to retain AML/CFT records: process them only for decree purposes and consistently with data-protection law; prevent loss; allow reconstruction of customer activity; identify who may enter or access records; provide full, prompt access to the named authorities; acquire records within 30 days of the listed relationship, engagement, transaction/service, variation or closure events and record the acquisition date; protect integrity and history; and keep data transparent, complete and clear. An independent service centre may be used, but the obliged entity retains responsibility and must have direct, immediate system access. This article does not itself set a retention duration or create an unrestricted authority-access power beyond the referenced authorities.

Obligation

Adopt retention systems suitable for documents, data and information under the Decree; preserve specified purpose, loss-prevention, reconstruction, authorised-user, authority-access, dated-acquisition, integrity, clarity and historical-record controls. Record the acquisition date and complete acquisition within the text’s 30-day window from each specified trigger. A service-centre arrangement leaves responsibility with the obliged entity and must preserve its direct, immediate access.

Paragraph 1 system duties apply to obliged entities’ retention of documents, data and information under the Decree. Exceptions
The provision does not grant all authorities general access: paragraph 2(a) names only the authorities cross-referenced in Article 21-bis(1)(a)-(b). Banking and financial intermediaries, except those referred to in Article 3(2)(i), (o), (p), (q) and (v), and fiduciary companies referred to in Article 3(3)(a), shall send the UIF aggregated data concerning their operations. The purpose is to enable targeted analyses to identify possible money-laundering or terrorist-financing phenomena in particular geographical areas. 2. The UIF shall determine the types of data to be sent, the methods and frequency of transmission, and shall verify compliance with this Article, including by direct access to data and information retained by the banking or financial intermediary or fiduciary company.

Plain English

The retained text requires the covered banking/financial intermediaries and specified fiduciary companies to submit aggregated information about their activity to the UIF for geographically targeted AML/CFT analysis. It excludes the intermediary categories cross-referenced in Article 3(2)(i), (o), (p), (q) and (v). The UIF determines what data are sent and the transmission method and frequency, and checks compliance; the text permits direct access to the covered entity's retained data and information for that verification. It does not itself specify a universal reporting dataset or cadence.

Obligation

Covered banking and financial intermediaries, excluding the categories cross-referenced in Article 3(2)(i), (o), (p), (q) and (v), and fiduciary companies within Article 3(3)(a), must submit aggregated operational data to the UIF according to the data types, transmission methods and cadence determined by the UIF. The UIF checks compliance and may do so through direct access to the covered entity's retained data and information.

Art. 35 (( (Obbligo di segnalazione delle operazioni sospette). )) (( 1.

**Article 35 (Obligation to report suspicious transactions)** 1. Before carrying out a transaction, obliged entities shall send a suspicious-transaction report to the UIF without delay when they know, suspect or have reasonable grounds to suspect that money laundering or terrorist financing is in progress, has been carried out or attempted, or that funds, regardless of amount, derive from criminal activity. Suspicion is inferred from the characteristics, amount or nature of transactions; their connection or splitting; or any other circumstance known through the functions performed, taking account of the economic capacity and activity of the person concerned and the information acquired under this Decree. Frequent or unjustified use of cash, even below the threshold in Article 49, and in particular cash withdrawals or deposits inconsistent with the customer risk profile, is an indicator of suspicion. The UIF issues and periodically updates anomaly indicators to facilitate identification of suspicious transactions. 2. Where the paragraph 1 grounds for suspicion exist, obliged entities shall not carry out the transaction until they have submitted the suspicious-transaction report. This is subject to cases where the transaction must be performed because the entity is legally required to receive the instrument; where it cannot be deferred in light of ordinary operations; or where deferral could obstruct an investigation. In those cases, after receiving the instrument or carrying out the transaction, the obliged entity shall inform the UIF immediately. 3. The report shall contain data and information, a description of the transactions and the reasons for suspicion. Obliged entities shall cooperate with the UIF and respond promptly to requests for further information. The UIF issues instructions for detecting and reporting suspicious transactions to ensure their promptness, completeness and confidentiality. 4. Communications made in good faith by obliged entities, their employees or directors for suspicious-transaction reporting do not breach contractual or statutory, regulatory or administrative restrictions on disclosure. They do not give rise to liability of any kind, including where the person making the communication does not know the underlying criminal activity or regardless of whether the illegal activity was actually carried out. 5. The suspicious-transaction reporting obligation does not apply to professionals in respect of information received from or obtained about a client while ascertaining the client's legal position or performing defence or representation duties for the client in judicial proceedings or in connection with such proceedings, including lawyer-assisted negotiation under law and advice on whether to bring or avoid proceedings, where the information is received or obtained before, during or after the proceedings.

Plain English

Obliged entities must report to the UIF without delay, and before executing the transaction, when they know, suspect or have reasonable grounds to suspect ML/TF or criminal-origin funds, regardless of amount. Suspicion is assessed from transaction facts and customer context, not a fixed value threshold; frequent or unjustified cash use can be suspicious even below Article 49 limits. The transaction is held pending reporting unless one of the three stated exceptions applies, in which case the UIF is informed immediately after receipt/execution. The report needs the data, transaction description and reasons; entities must respond promptly to UIF follow-up. Good-faith reporting protection applies. The professional exemption is limited to information obtained for legal-position assessment, defence/representation or related advice in or connected with proceedings; it is not a general profession-wide exemption.

Obligation

Submit a prompt suspicious-transaction report to the UIF before carrying out a transaction when the statutory knowledge/suspicion/reasonable-grounds test is met, including attempted, ongoing or completed activity and criminal-origin funds regardless of amount; do not execute until filing unless a stated exception applies, then notify the UIF immediately afterward. Include relevant data, transaction description and reasons and respond promptly to UIF information requests.

The reporting trigger is knowledge, suspicion or reasonable grounds to suspect current, completed or attempted ML/TF or criminal-origin funds, without an amount floor. Assess transaction characteristics, amount, nature, linkages/splitting, other circumstances known through the role, and the persons economic capacity/activity against acquired information. Before execution, report without delay and do not execute until the report is sent. If law requires receipt, ordinary operations make delay impossible, or delay could obstruct investigation, perform/receive and inform UIF immediately afterward. Include the required content and promptly answer further requests.
Exceptions
The execution hold has only the three listed exceptions, each followed by immediate UIF notice after receipt/execution. Article 35(5) exempts professionals only for information received/obtained in the specified legal-position, defence/representation or proceeding-related advice context, whether before, during or after proceedings. It is not a blanket professional exemption. **Article 36 (Methods for reporting by banking and financial intermediaries, other financial operators, financial-market infrastructure entities, and contracted entities and agents)** 1. For suspicious-transaction reporting, banking and financial intermediaries, other financial operators and financial-market infrastructure entities listed in Article 3(8) shall, within their organisational autonomy and using information-technology and telecommunications tools where appropriate, use procedures for examining transactions. Those procedures shall take account, among other things, of evidence that can be derived by analysing data and information retained under Chapter II of this Title. 2. The person responsible for a branch, office, other operating point, organisational unit or structure of an intermediary, or of the person responsible for administering and managing customer relationships in practice, must communicate without delay transactions referred to in Article 35 to the head of the competent function, the legal representative or another person specifically delegated for that purpose. 3. The obliged entities referred to in Article 3(2)(o) and Article 3(3)(c) fulfil the reporting obligation by sending the report to the head of the competent function, legal representative or other specifically delegated person of the mandating or reference intermediary. 4. Insurance or reinsurance intermediaries, also called brokers, referred to in Article 109(2)(b) of the Private Insurance Code, where no reference intermediary can be identified, and credit brokers referred to in Article 128-sexies of the Consolidated Banking Act, shall send the report directly to the UIF. 5. Contracted entities and agents referred to in Article 1(2)(nn) shall communicate to the reference intermediary or, for contracted entities and agents operating in Italy on behalf of institutions whose registered office and central administration are in another Member State, to the central contact point, every circumstance and item of information relevant to that recipient's assessment of whether to forward a suspicious-transaction report. 6. The head of the competent function, legal representative or other specifically delegated person of the mandating or reference intermediary, or the person responsible for the central contact point, shall examine reports received and, if they consider them substantiated in light of all the elements available and evidence from retained data and information, shall transmit them to the UIF without the reporter's name.

Plain English

Article 36 maps transaction-review and report-escalation routes for the intermediary/operator categories it names. Relevant operating-point staff must promptly escalate an Article 35 transaction to the designated function or representative. Specified entities report through a mandating/reference intermediary; insurance/reinsurance brokers with no identifiable reference intermediary and credit brokers report directly to the UIF. Contracted agents send relevant facts to a reference intermediary or, for the stated cross-border institutions, the central contact point. The designated recipient assesses a report on all available evidence and forwards a substantiated report to the UIF without the reporter name. These are distinct routes, not one universal process.

Obligation

Covered entities use transaction-review procedures that consider retained information. Designated branch/office/operating-point managers communicate Article 35 transactions without delay to the competent function, legal representative or delegate. The specified entities route reports via the mandating/reference intermediary; brokers and agents follow the direct or internal assessment routes stated in paragraphs 4-6.

Translation: The person responsible for the branch, office, other operational point, organisational unit or structure of the intermediary, or the person responsible for the actual administration and management of customer relationships, must promptly communicate the transactions referred to in Article 35 to the head of the competent function, the legal representative or another person specifically delegated for that purpose.

Paragraph 1 covers banking and financial intermediaries, other financial operators, and the financial-market infrastructure entities listed in Article 3(8). Paragraph 2 assigns prompt internal communication to the person responsible for the client-facing unit or concrete relationship management. Paragraphs 3-6 apply the specific routing routes and recipient roles stated; forwarding by the final reviewer depends on the report being considered substantiated on all available elements and retained data.
Exceptions
A contracted-agent communication is not itself a direct UIF report. Direct broker reporting is stated for insurance/reinsurance brokers when no reference intermediary can be identified and for the named credit brokers. The central contact point route is limited to the stated agents operating for an institution with registered office and central administration in another Member State. **Article 38 (Protection of the reporter)** 1. Obliged entities and self-regulatory bodies shall adopt all measures suitable to ensure the confidentiality of the identity of persons who make a report. 2. At every stage of proceedings, the judicial authority shall take the measures needed to ensure that submission of a report and information transmitted by FIUs, their contents and reporters' identities remain confidential. In all cases, identifying data of reporters may not be included in the Public Prosecutor's file or the trial file, and may not otherwise be disclosed, unless disclosure is essential to establish the offences being prosecuted. In that case, the judicial authority shall act by reasoned order and take the precautions needed to protect the reporter and, where possible, keep the report and information transmitted by FIUs confidential. 3-bis. Unless the conduct constitutes a more serious offence, anyone who unlawfully discloses the reporter's identity is punishable by imprisonment for two to six years. The same penalty applies to anyone who unlawfully discloses information about submission of a report, information transmitted by FIUs or their contents, if the information disclosed is capable of identifying the reporter. 4. Plain English

Article 38 requires confidentiality safeguards for reporter identity and reporting information across obliged entities, self-regulatory bodies, judicial proceedings, seized records and electronic exchanges. Reporter identity is excluded from specified prosecutor and trial files and may otherwise be disclosed only when essential to establish the prosecuted offence, by reasoned judicial order and with precautions. Unlawful disclosure of identity, or of information capable of identifying a reporter, carries the stated two-to-six-year imprisonment term in the retained text. Electronic exchanges must protect confidentiality, authorised attribution and integrity.

Obligation

Protect the identity of suspicious-transaction reporters through required organisational measures and preserve specified custody/confidentiality arrangements. Do not disclose protected reporting information beyond statutory scope and exceptions; judicial-file safeguards, seizure precautions and inter-authority exchange are assigned to public actors.

6. **Article 39 (Prohibition on communications concerning suspicious-transaction reports)** 1. Except in cases provided for by this Decree, persons required to report a suspicious transaction, and anyone who otherwise knows of it, are prohibited from informing the affected customer or third parties that a report was made, that further information requested by the UIF was sent, or that a money-laundering or terrorist-financing investigation or further examination exists or is likely. For personal-data processing connected with the reporting and communications in this paragraph, the rights under Articles 15 to 18 and 20 to 22 of Regulation (EU) 2016/679 shall be exercised subject to the limits in Article 2-undecies of Legislative Decree No 196 of 30 June 2003, as amended. 2. The paragraph 1 prohibition does not extend to communications to sectoral supervisory authorities when exercising functions under Article 7(2), to the Guardia di Finanza during controls under Article 9, or to communications for investigative ascertainment. 3. The paragraph 1 prohibition does not prevent communications between banking and financial intermediaries, provided they belong to the same group, or between such intermediaries and their branches and majority-controlled subsidiaries located in third countries, provided those branches and subsidiaries comply with group policies and procedures, including information-sharing procedures, suitable to ensure proper compliance with AML/CFT requirements. 4. The paragraph 1 prohibition does not prevent communications among professionals who provide their professional services as part of an association, as employees or as collaborators, including when located in third countries, provided they apply measures equivalent to those in this Legislative Decree. 5. Where the same customer or transaction involves two or more banking and financial intermediaries or two or more professionals, the paragraph 1 prohibition does not prevent communications among those intermediaries or professionals, provided they belong to a Member State or are located in a third country that imposes obligations equivalent to those in this Legislative Decree, without prejudice to Articles 42, 43 and 44 of the Personal Data Protection Code. Information exchanged may be used exclusively to prevent money laundering or terrorist financing. 6. A professional's attempt to dissuade a customer from engaging in illegal activity does not breach the communication prohibition in this Article.

Plain English

Article 39 prohibits tipping off a customer or third party about a report, UIF follow-up information or likely/current AML/CFT investigation. It then specifies limited authority, intra-group, professional-association and same-customer/transaction sharing exceptions, each with its own conditions. The same-customer/transaction exchange is purpose-limited to AML/CFT prevention and remains subject to cited data-protection provisions. A professional may still dissuade a client from illegal conduct.

Obligation

Do not communicate to an affected customer or third party that a suspicious-transaction report was made, UIF-requested information was sent or an AML/CFT investigation/further examination exists or is likely, except for the specified authority, group, professional and investigative communications. Apply the stated equivalence, group, purpose and data-protection conditions.
